About The Position

The primary focus of the role will be to assist revenue generating areas in contract negotiations, this Commercial Contract Attorney will report to General Counsel and assist with advice to senior management in regard to negotiating, drafting and renewing commercial contracts. This role will work collaboratively across North America. This role is essential to our growth and will have an immediate impact in our dynamic, fast-paced culture.

 What You'll Do:

  • Draft, review and negotiate a variety of agreements with customers, partnerships and/or strategic alliance deals and other commercial agreements and provide counsel on legal issues to business units
  • Work with customers and internal teams to lead negotiation of terms to align with Corporate objectives
  • Analyze and mitigate potential risks regarding contract terms
  • Remain current with respect to and advise senior management on all developments in relevant state and federal regulation
  • Responding to inquiries from the relevant revenue-driving areas and ensure an efficient contract management process
  • Negotiating and drafting transaction documentation
  • Data processing agreements (CCPA, GDPR, HIPAA)

Requirements

  • J.D. and be admitted to (or in the process of admission) the New York State Bar
  • Substantial expertise on CCPA, GDPR, EU Standard Contractual Clauses and data-privacy across various jurisdictions
  • Strong negotiation and document drafting skills are essential
  • Experience working with extreme deadline driven deliverables
  • Must be highly motivated and detail oriented
  • 6-8 years combined major law firm and in-house experience
  • Must have strong commercial law experience
  • Ability to perform duties under minimal supervision while exercising discretion and independent judgment.
  • Must have capability to multi-task while working on multiple projects
  • Excellent written and verbal communication skills
